NAB Video Competition Terms & Conditions – Every Second Counts 

NO PURCHASE NECESSARY TO ENTER OR WIN.

1. SPONSOR

This competition (“Competition”) is sponsored by LucidLink Corp., with its principal place of business at 575 Market St. #523, San Francisco, CA 94105 (“Sponsor”).

2. ELIGIBILITY

The Competition is open to individuals who meet the following criteria:

  1. Must be 18 years of age or older at the time of entry.

  2. Must be legally able to travel to Las Vegas, NV, USA and be able to attend the NAB 2025 event at the Las Vegas Convention Centre (on any day), between April 5-9th 2025 (see Clauses 7-11 for further First Place Winner requirements). 

  3. Non-U.S. participants must hold a valid passport and have no U.S. travel restrictions (including visa requirements). The Sponsor will not provide any immigration or travel sponsorship.

  4. Employees, officers, directors, agents, and representatives of the Sponsor, its affiliates, subsidiaries, and immediate family members are not eligible to participate.

  5. Entrants must not be residents of, or located in, any country or territory that is subject to international sanctions, embargoes, or restrictions as imposed by the United States, the European Union, the United Kingdom, or other applicable governing authorities.

3. COMPETITION PERIOD

Start Date: February 19th 2025. 

End Date: March 14th 2025 at 11:59 PM PST. 

Entries submitted after the deadline will not be accepted.

4. HOW TO ENTER

To participate, entrants must complete all of the following steps:

  1. Complete the entry form to confirm the entry.

  2. Create a video using LucidLink (using an existing LucidLink account or sign up for a 30-day free trial). Video must be 30 to 60 seconds long, optimized for vertical viewing on Instagram and include the #madewithLucidLink logo in the final frame. Once you enter the competition through the link above, you’ll be given access to a LucidLink filespace to access the #madewithLucidLink logo.

  3. Post the video to Instagram and tag @lucidlink_ and use the hashtags #EverySecondCounts, #NABShow and #madewithLucidLink

  4. In the caption, tell us what “Every Second Counts” means to them and how the video reflects that.

Entrants must not inaccurately tag themselves or others in their post.

Entrants must ensure their video complies with intellectual property (IP) ownership and content requirements outlined in Clause 13. Refer to Clause 7 for guidance on bandwidth usage. 

This Competition is in no way sponsored, endorsed, administered by, or associated with Instagram. By participating, entrants agree to comply with all applicable Instagram Terms of Use, Community Guidelines, and Promotion Guidelines.

Entrants must ensure their submissions do not violate Instagram’s content policies, including restrictions on copyrighted material, offensive content, or spam. Any entries found in violation may be disqualified at the Sponsor’s discretion. By entering, participants release Instagram from any responsibility related to this Competition.

5. PRIZES

For the purposes of these Terms and Conditions, the First Place Winner, Second Place Winner, and Third Place Winner will be collectively referred to as the “Winners”. 

First Place (the “First Place Winner”) 

  • All-expenses-paid* trip to Las Vegas for NAB 2025 with the LucidLink team (*limitations apply, see Clause 11). 

  • 20-minute spotlight in Creator Labs to showcase their video and creative process at LucidLink’s booth at NAB between April 5-9th 2025. 

  • 6 months of LucidLink free**. 

Approximate Retail Value (ARV): $5,000.00

Second Place (the “Second Place Winner”): Premium LucidLink “swag bag” (a LucidLink branded tote bag which may include items subject to availability, including but not limited to; a hat, notebook, stickers and water bottle) a Polaroid camera, LucidLink branded hooded sweatshirt, and 6 months of LucidLink free**. 

ARV: $170.00

Third Place (the “Third Place Winner”): A LucidLink braded sweatshirt and 3 months of LucidLink free**. 

ARV: $40.00

All Participants: Will receive an Exhibits pass between April 5-9th 2025, to the NAB show as a thank-you for participating. 

ARV: $ NIL

**By activating the complimentary LucidLink subscription, the Winners acknowledge and agree to the following terms: For each of the Winners, the plan includes up to 10 members and 4 TB of storage, with any overages incurring additional charges. A valid credit card is required at signup to cover overages and automatic billing once the free period ends. If the included limits are exceeded, standard pricing will apply (see https://www.lucidlink.com/pricing for details). To avoid charges after the trial, Winners must cancel and delete their account before the free period expires. 

Winners may be subject to certain tax requirements depending on the value of their prize. See Clause 12 for full details.

6. WINNER SELECTION & NOTIFICATION

Winners will be selected based on skill, creativity, originality, and relevance to the theme “Every Second Counts.”

Judging will be conducted by a panel of company representatives.

Winners will be announced on March 20th 2025, via the @lucidlink_ Instagram account and notified via direct message and/or email.

Winners must respond within 2 business days to claim the prize. If unresponsive, the Sponsor reserves the right to select an alternate Winner.

Where applicable prizes will be delivered within 30 days of Winner confirmation (in accordance with these Terms and Conditions) . 

7. SUBMISSION OF VIDEO (FOR FIRST PLACE WINNER) 

The First Place Winner must be able to conduct a (virtual) pre-show demonstration for LucidLink of their video and creative process on or before March 27th 2025. Should the First Place Winner require additional time, they must contact LucidLink to discuss and agree any extensions. 

Failure to submit the required demonstration by the specified, or extended deadline may result in the forfeiture of the prize, which may then be awarded to an alternate applicant at the Sponsor’s discretion.

LucidLink will provide basic internet access at its NAB booth with speeds of up to 10 Mbps, however it may be lower in practice. First Place Winner is therefore expected to design and optimize their workflows to minimize bandwidth usage within this limit. 

8. SET UP AND ARRIVAL REQUIREMENTS (FOR FIRST PLACE WINNER) 

The First Place Winner must be available to attend the LucidLink booth at the NAB event, in advance of the event start, to set up and configure their equipment and materials for their demonstration. First Place Winner must be present for setup at the event by no later than 12:00PM PST on April 6th 2025, with all equipment and materials ready to be fully installed, tested, and configured. This setup period is essential to ensure that all technical components are functioning correctly before the First Place Winner’s scheduled demonstrations during the event. Failure to attend the event as required by this clause and to meet the specified deadline may result in the cancellation or rescheduling First Place Winner’s demonstration at LucidLink’s discretion and result in non-payment of expenses as per Clauses 5(a)(i) and 11. 

9. EVENT EXPECTATIONS (FOR THE FIRST PLACE WINNER)

The First Place Winner hereby agrees to:

  1. Any unauthorized use of LucidLink’s booth space is strictly prohibited; 

  2. Adhere to generally accepted professional conduct standards and act in a courteous and professional manner that reflects positively on both the First Place Winner and LucidLink;

  3. Comply with all applicable laws, regulations, and industry standards relevant to the First Place Winner’s participation;

  4. Follow all health and safety guidelines issued by event organizers, venue authorities, and any applicable regulatory bodies;

  5. Ensure that all demonstrations are conducted safely and responsibly. 

10. EQUIPMENT AND SECURITY (FOR FIRST PLACE WINNER) 

First Place Winner is responsible for providing all necessary computers, hardware, and related equipment required for their demonstrations or activities at the event. First Place Winner must ensure that all equipment:

  • Has the latest version of LucidLinks's product, Version 3 (V3 LucidLink), properly installed and operational on all devices used for demonstrations and presentations; 

  • Is up-to-date with the latest software updates, patches, and security protocols; 

  • Has appropriate security measures in place, including firewalls, antivirus software, and malware protection, to prevent the introduction of bugs, viruses, or any other malicious software into LucidLink’s systems or the event’s network; 

  • Is in proper working condition and compatible with the event’s technical infrastructure. 

LucidLink assumes no responsibility for the performance, functionality, or security of First Place Winner’s equipment. First Place Winner agrees to indemnify, defend, and hold LucidLink harmless from any claims, damages, or disruptions caused by First Place Winner’s hardware or software.

First Place Winner is solely responsible for the security, care, and supervision of its own hardware, equipment, and personal belongings during the event. First Place Winner agrees to:

  • Monitor and secure all equipment at all times and avoid leaving any hardware unattended in the booth or event space;

  • Take appropriate precautions to prevent loss, theft, damage, or misuse of their equipment. 

LucidLink shall not be held liable for any loss, theft, damage, or unauthorized use of First Place Winner’s hardware, equipment, or personal property, whether occurring at the event venue or during transport to and from the event. First Place Winner assumes all risks associated with bringing and using their equipment at the event.

11. TRAVEL REQUIREMENTS & EXPENSE REIMBURSEMENT (FOR FIRST PLACE WINNER)

The First Place Winner must provide a valid passport (if non-U.S. resident) and demonstrate the ability to enter the U.S. 

The First Place Winner must be available to attend NAB in Las Vegas, NV, U.S. 2025 from April 5-9th 2025.

The all-expenses-paid allowance shall not exceed $5,000 and includes:

  1. A daily meal and refreshments allowance of up to $100, excluding alcohol. 

  2. Reasonable travel expenses for the First Place Winner only, including economy-class airfare or train fare. If traveling by personal vehicle, reasonable fuel costs will be reimbursed in accordance with the IRS standard mileage rate per mile. The First Place Winner is expected to choose the most economical travel option available. The Sponsor reserves the right to reimburse only the cost of the most reasonable and cost-effective method of travel, as determined at its discretion. 

  3. Standard hotel accommodation (based on average mid-range hotel rates in Las Vegas during the event dates). 

  4. NAB entry. 

Any expenses exceeding the specified limits or falling outside these guidelines will be the sole responsibility of the First Place Winner.

All expenses must be approved by the Sponsor and supported by valid, itemized receipts.

Reimbursement will be processed after the event, subject to the submission of all required documentation, including a completed W-9 form (for U.S. First Place Winner) (see Clause 12), relevant bank details, and itemized expense receipts. First Place Winner must submit their expenses and required documentation within 14 days of the conclusion of the event (by 22nd April 2025). Upon successful submission and approval of expenses, the Sponsor will process reimbursement within 28 days of receipt.

12. TAXES 

By entering this Competition, Winners acknowledge and accept that any prize valued at $600 or more is subject to applicable federal, state, and local taxes in the U.S., and may be subject to tax laws in the Winners’ country of residence or other jurisdictions.

U.S. First Place Winner: If you are a U.S. citizen or resident and win a prize valued at $600 or more, you will be required to complete and submit Form W-9 (Request for Taxpayer Identification Number and Certification) to the Sponsor within 14 days of winning. The Sponsor will then issue a Form 1099-MISC (or Form 1099-NEC, as applicable) to report the prize value to the Internal Revenue Service (IRS) and First Place Winner for their personal tax records.

Non-U.S. Winners: If you are a non-U.S. citizen or resident, you may be subject to U.S. withholding taxes on the prize, depending on the applicable tax treaty between your country of residence and the U.S. You may also be required to submit a Form W-8BEN (Certificate of Foreign Status of Beneficial Owner for United States Tax Withholding) to the Sponsor. The Sponsor will not withhold taxes, but may provide required forms for your tax reporting as necessary.

Winners are solely responsible for paying any taxes associated with their prize, including but not limited to income taxes, customs duties, and VAT (if applicable), in both the U.S. (for U.S. residents) and in their country of residence (for non-U.S. residents). The Sponsor will not withhold taxes from the prize or assist with tax filing.

All federal, state, local, and international taxes are the sole responsibility of the Winners.

Winners agree to indemnify and hold the Sponsor harmless from any claims, costs, or liabilities arising from the Winners failure to comply with such tax obligations, including any penalties or interest due under the tax laws of their country or jurisdiction and acknowledge that the prize’s value may be reported to the IRS or other relevant tax authorities as required by law.

13. INTELLECTUAL PROPERTY & LICENSE

By entering the Competition, participants represent that they own all rights to the submitted video, including music, visuals, and other content.

Entrants grant the Sponsor a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute their videos at the NAB event, on social media, websites, and marketing materials for promotional use.

Credit will be given to the original creator whenever the content is used.

14. PUBLICITY & WINNER ANNOUNCEMENT

By entering the Competition, participants acknowledge and agree that the Sponsor may publicly announce their name and social media handle on the Sponsor’s website, social media channels, and other marketing materials, in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and the California Privacy Rights Act (CPRA).

The Sponsor may also disclose the Winners details upon request, where legally required, to individuals who submit a written request within 45 days of the Competition’s end date. The Sponsor will only share Winners’ names and general locations (e.g., city, country) unless otherwise required by law.

If Winners are subject to GDPR or other applicable privacy laws, they may request the removal or restriction of their personal information from public winner announcements by contacting notices@lucidlink.com. However, legal disclosure obligations may still apply.

14. GENERAL CONDITIONS

No purchase is necessary to enter or win this Competition.

Only one (1) submission per entrant is allowed. Multiple entries from the same person will be disqualified.

Prizes are non-transferable, non-exchangeable, and no cash alternative will be offered.

Where applicable, Winners must provide their clothing size within 14 days of being notified. If no size is provided within this timeframe, a standard size will be sent, and no exchanges or returns will be accepted.

The Sponsor reserves the right to verify the identity of Winners before awarding a prize. Winners may be required to provide a valid government-issued photo ID (e.g., passport, driver’s license) to confirm their identity and eligibility. Failure to provide satisfactory proof of identity within the requested timeframe may result in disqualification and forfeiture of the prize, which may then be awarded to an alternate Winner.

The Sponsor reserves the right to disqualify any entry that violates these Terms and Conditions or contains inappropriate content.

If Winners cannot be contacted within 2 business days, or if they fail to comply with these Terms & Conditions, the prize may be forfeited. In such cases, the Sponsor reserves the right to select an alternate Winner at the earliest available opportunity. The same terms and conditions will apply to any re-selected Winner.

The Sponsor reserves the right to modify, suspend, or cancel the Competition in the event of unforeseen circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, technical failures, or legal restrictions ("Force Majeure"). If the Competition is canceled, the Sponsor is not obligated to offer an alternative prize or cash substitute unless required by law.

The Sponsor also reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable for reasons beyond its control. 

This Competition is governed by and will be construed under the laws of the State of California, without regard to the conflicts of laws provisions thereof. The United Nations Convention on Contracts for the International Sales of Goods shall not apply to this Agreement. Any disputes will be resolved in the courts of San Francisco, California. 

15. LIMITATION OF LIABILITY AND INDEMNIFICATION

The Sponsor is not responsible for any technical malfunctions, failures, issues (e.g., submission errors, hacked accounts, Instagram outages), lost entries, or other issues beyond its control. Entrants participate at their own risk, and the Sponsor disclaims all liability for any damages, injuries, or losses arising from participation in the Competition or use of prizes.

Entrants shall be responsible for their own products, services, and representations. Entrants agree that their participation and/or showcasing in this Competition or at the event will be entirely at their own risk and liability, including but not limited to demonstration failures, misinformation, or technical issues.

In no event shall LucidLink, nor its directors, employees, agents, partners, suppliers or content providers be liable under contract, tort, strict liability, negligence or any other legal or equitable theory with respect to the subject matter of this Competition (i) for any lost profits, cost of procurement of substitute goods or services, or special, indirect, incidental, punitive, or consequential damages of any kind whatsoever, or (ii) for any direct damages, even if LucidLink, it’s directors, employees, agents, partners, suppliers or content providers have been advised of, knew or should have known that such damages were possible. 

The above limitations of liability shall apply to the extent that they are not explicitly prohibited by law. For the avoidance of any doubt, if the law does not permit limitation of liability in cases of malice and/or gross negligence, the liability of LucidLink, its directors, employees, agents, partners, suppliers or content providers shall be limited to the degree permitted by the applicable law.

Entrants agree to indemnify, defend and hold harmless LucidLink, its affiliates, and their respective officers, employees, and agents from and against all liabilities, claims and expenses (including reasonable attorney’s fees) from a third party claim arising from or relating to the entrants, their employees, agents or sub-contractors participation in the event and/or showcasing at the event, negligence, omission or failure to perform its obligations under this Competition, or the infringement by the of any intellectual property or other right of any third party. 

16. PRIVACY

By entering this Competition, entrants acknowledge that the Sponsor will collect and process personal data, including but not limited to names, email addresses, social media handles, and any other information required for participation, Winner selection, and prize fulfillment.

How We Use Entrants Data – We use entrants data: to administer the Competition, verify eligibility, and contact Winners, to announce Winners on our website, social media, and upon request (see Clause 14), to process prize fulfillment, including travel arrangements and reimbursements where applicable and to comply with any legal and tax reporting obligations. 

Data Retention & Storage - Personal data will be securely stored and retained only for as long as necessary to fulfill the purposes outlined above. Entrants data may be retained as required by tax and legal obligations.

Opt-Out & Rights - Entrants have the right to: request access to their personal data, request correction or deletion of their data and withdraw their consent at any time (note: withdrawing may result in disqualification from the Competition).
